What a holdback is
An escrow holdback is a portion of the purchase price that is set aside with a neutral third party for a set time after closing. If certain agreed conditions are met, and no problems surface, the money is released to you. It is essentially a safety cushion for the buyer, giving them recourse if something they were promised turns out to be wrong after they take over.
Why buyers ask for it
A buyer is trusting that the business is as represented. A holdback protects them if, for example, an undisclosed liability appears, a warranty you made proves inaccurate, or a promised transition does not happen. Instead of chasing you for money later, they can draw from the escrow. Knowing the cushion exists often makes buyers more comfortable paying a fair price, so a reasonable holdback can actually help close a deal.
Keeping it fair for you
A holdback should be reasonable, not a way for the buyer to sit on a big chunk of your money for no reason. The things to negotiate are the amount, usually a modest percentage of the price, the length of time, often several months to a year, and the specific conditions for release. The clearer and narrower those conditions are, the better protected you are. Vague terms are where sellers get burned, so precise language matters.
Not every deal has one
Plenty of small business sales close with no holdback at all, particularly straightforward asset sales. They are more common in larger or more complex deals.
