Leasing vs Owning Your Location: How It Affects Your Business Sale

Whether you own the building your business operates in or lease it from someone else has a bigger effect on your sale than most owners expect. It changes what a buyer is actually getting, how the deal gets financed, and in some cases whether the sale can happen at all. If you lease: the lease is part of the deal

When you rent your location, the buyer needs to be able to keep operating there, which means your landlord has to agree to transfer or assign the lease to the new owner. A strong, transferable lease with years of term remaining is an asset. A short lease, a month-to-month arrangement, or a landlord who is difficult can become a real obstacle. I always recommend reviewing your lease early, well before going to market, so we know where we stand.

If you own: you have options

Owning your building gives you flexibility. You can sell the real estate along with the business, or keep it and lease it back to the buyer for ongoing income. Owning also removes the landlord risk that leased businesses carry. The one thing to watch is rent: if you have been paying yourself below-market rent or none at all, we need to adjust your financials to reflect what a buyer would actually pay to occupy the space.

How it affects financing

Lenders care a lot about location stability. For an SBA-backed acquisition, they typically want the lease term, including options, to cover the length of the loan, often ten years. If you lease and your remaining term is short, we may need to negotiate an extension with your landlord before a bank will approve a buyer. If you own and are leasing the building back, the lease you sign becomes part of what the lender reviews. Either way, getting this settled early keeps deals from stalling.
