What Contracts and Documents Do I Need Before Selling My Business?

One of the most practical things you can do to prepare for a business sale is organize your critical documents in advance. Buyers and their advisors will request extensive documentation during due diligence, and having everything organized and accessible signals professionalism — while preventing costly delays.

Financial Documents

3 years of federal and state tax returns, profit and loss statements, balance sheets, bank statements (12–24 months), accounts receivable and payable aging reports, and any existing financial projections. If you work with a CPA, their compiled or reviewed financials add credibility.

Legal and Corporate Documents

Articles of incorporation or organization, operating agreements or bylaws, any shareholder agreements, and your current good standing documentation from the state of Florida. Also include any pending or past litigation disclosures.

Customer and Vendor Contracts

All active customer contracts, especially any multi-year agreements. Vendor and supplier contracts, particularly those essential to operations. Check each contract for assignment provisions — some contracts require the other party’s consent to transfer to a new owner.

Lease and Real Property Documents

Your current lease agreement, any amendments, and information about renewal options and assignment provisions. Buyers need to know whether the lease can be transferred and on what terms. A lease with favorable terms and renewal options is a significant asset.

Employee Records

Organizational chart, employee roster with tenure and compensation, any existing employment agreements or non-competes, and an overview of your benefits structure. Buyers want to understand your team and any HR-related obligations.

Intellectual Property and Licenses

Any trademarks, patents, or copyrights. Business licenses, professional licenses, permits, and regulatory certifications required to operate. Make sure all licenses are current and transferable.
